K) &0V,  .~~D~~Summary of Meeting with Alan Kinniburgh, Mike OConnor, and Paul Haas June 29, 2006 As a result of issues raised during the On-The-Road meeting in Denver on June 22 and 23, 2006, Mike OConnor and Paul Haas met with Alan Kinniburgh via phone on June 29 to discuss two issues. This discussion was initiated after conferring with both of the NHF board members in attendance at the meeting, and following input from NHF board consultant Bill Charney about whether the actions observed warranted feedback. At this stage this summary is provided for Board information. No action is recommended at this time. The issues are: The first issue relates to public comments made about a specific NHF staff member at an industry dinner with Board members, chapter leadership, and a company executive present. Mike was present and was concerned that such a discussion should not have taken place in a public setting. Alan and Mike have different perspectives on the discussion. While Mike agreed that many of the comments about the specific staff person were positive, there were comments made about the need for the staff person to be mentored due to ineffectiveness in areas of this persons performance. Alan stated that he was attempting to defend this staff person. While Alans intent may have been very well motivated, Mike and Paul believed that the setting and timing of this discussion were wrong and that Alan needs to be careful about the appropriateness of making such comments in a public forum. This issue relates to Policy 2.0: General Executive Constraints in that the discussion of a specific employee is not typical of CEO behavior. The second issue related to Alans general skills of interpersonal relationships. There were times during the Denver On-The-Road meeting when the two Board members believed that Alan was not connecting with the participants. In fact, it is their view that Alans interaction was actually causing negative reactions. Examples of the behavior included dominating conversations, the perception that he doesnt listen, and the appearance of a combative attitude. Similar concerns have been discussed with Alan previously. After considerable discussion, Alan agreed to work on this part of his personality. Essentially he stated that he is passionate about growing NHF into a great organization and he gets frustrated when there appears to be resistance to ideas. Mike and Paul emphasized the importance of Alan developing better questioning and listening skills. He should attempt to make his responses shorter and he should reduce the amount of references he makes to his work with leukemia and lymphoma. He needs to emphasize the activities of NHF. This issue relates to Policy 2.4: Asset Protection in that such behavior has the potential for decreasing the reputation of NHF and the goodwill of the organization. The meeting ended on a cordial note. All agreed that the goal is to improve NHF. Alan said that he would take the recommendations seriously and work on his approach to communication. Paul F.
